1. Definitions
1.1. Affiliate – Any individual or legal entity registered in the Zupría Affiliate Program, promoting our products and services in exchange for a commission.
1.2. Zupría – Zupría SRL, VAT: RO40257322, registered address: Str. Polona 6-8, Brăila, Romania. Website: https://zupria.com | Email: contact@zupria.com. The company that owns and manages the Affiliate Program, hereinafter referred to as “Advertiser.”
1.3. Commission – The amount earned by the Affiliate for a valid sale generated through their unique affiliate link.
1.4. Affiliate Link – A unique tracking link provided to the Affiliate to identify sales resulting from their promotions.
2. Eligibility
2.1. The program is open to participants from any country, with no age restrictions.
2.2. Having a website is not required; promotion is allowed through social media, email marketing, content marketing, video platforms (e.g., YouTube, TikTok), influencer collaborations, online forums, paid advertising (with limitations described below), direct messaging (without spam), and other legal and ethical channels.
2.3. Paid advertising is allowed, except for Google Search campaigns, which are reserved exclusively for Zupría.
2.4. Registration is automatically approved. Zupría reserves the right to revoke access at any time; all commissions recorded up to the moment of access termination, regardless of their status at that time (approved or pending), will still be paid after they are approved in accordance with the program’s standard conditions.
3. Registration and Account
3.1. Affiliates are not required to provide their real name but must have access to the email address used for registration.
3.2. Affiliates are responsible for keeping their login details secure and preventing unauthorized access to their accounts.
4. Commissions
4.1. Standard commission: 30% of the net sale amount (excluding VAT).
4.2. Commissions apply only to the first sale made to a new customer.
4.3. Commissions remain “pending” for 30 days to cover the standard refund period and to allow sufficient time for potential chargebacks.
4.4. Cancelled or refunded sales will result in the related commission being voided.
4.5. If a chargeback is received for an order generated through an affiliate link, and the related commission has already been paid, the amount of that commission (if the chargeback is successful) will be deducted from the Affiliate’s current commissions.
4.6. Minimum payout threshold: €25.
5. Payments
5.1. Accepted payment methods: Wise, PayPal, SEPA bank transfer.
5.2. Payments are made in EUR.
5.3. Once the minimum payout threshold is reached, the Affiliate can request payment at any time by issuing an invoice and sending it to contact@zupria.com. The invoice must contain:

Full name / company name of the issuer

Full address

Tax identification number or company registration number

Description: “Zupría Affiliate Program Commission payment for Affiliate [Affiliate Name] – [Affiliate Username]”

Total amount and currency: euro currency

Payment details:

PayPal – email address for payment
-
Wise – full name, email linked to the Wise account, bank details (IBAN, BIC/SWIFT) if required

SEPA Transfer – full name, IBAN, BIC/SWIFT, bank name

5.4. VAT rules – How to issue your invoice
To ensure correct invoicing and avoid unnecessary VAT charges that cannot be recovered, all invoices must be issued according to the rules below:

Invoices issued by companies in Romania

Must include VAT at the legal rate in force on the invoice date, applied over the total commission amount ([commission total] + [VAT]).

Invoices issued by VAT-registered companies in the EU (except Romania)

Must apply 0% VAT with Reverse Charge under EU VAT Directive rules.

The invoice must include the text:
“VAT Reverse Charge – Article 196 of Directive 2006/112/EC”

Invoices issued by companies outside the EU (e.g., Dubai, USA, etc.)

Must be issued without VAT, regardless of the supplier’s local tax rules, unless the company has a fiscal registration in the EU.

If the company is registered for VAT in any EU country, the invoice must still be issued with 0% VAT (Reverse Charge), not with the local EU VAT rate, to avoid unnecessary VAT payments.

The invoice should include the text:
“VAT Reverse Charge – Customer liable for VAT in Romania”

Companies not registered for VAT

Must issue an invoice (or equivalent legal document in their country) without VAT.

5.6. Payments will only be made upon receipt of a valid invoice, after verifying and approving the commissions.
6. Promotional Materials
6.1. Affiliates may use any marketing materials created and provided by Zupría.
6.2. Zupría can create custom materials on request to meet an Affiliate’s specific needs.
6.3. Affiliates may create their own promotional content, provided it:

Is accurate and not misleading

Does not promise guaranteed results

Contains no false or deceptive claims

Does not associate Zupría with illegal or offensive activities
6.4. Paid advertising using the brand name “Zupría” is prohibited.
6.5. Spam, offensive, or misleading content is strictly forbidden.
7. Restrictions
7.1. Promotion is prohibited on websites containing illegal, violent, or discriminatory content.
7.2. Promotion is allowed on websites containing adult content.
7.3. Affiliates may not purchase through their own affiliate links.
7.4. Cloning the Zupría website or using its content without explicit permission is prohibited.
8. Term and Termination
8.1. The Affiliate Program is ongoing with no set end date.
8.2. Zupría may terminate an Affiliate’s participation immediately if these terms are violated; all commissions recorded up to the moment of access termination, regardless of their status at that time (approved or pending), will still be paid after they are approved in accordance with the program’s standard conditions.
8.3. Affiliates may leave the program at any time by notifying Zupría via email.
9. Changes to Terms
9.1. Zupría reserves the right to change these terms, including commission rates, with 14 days’ notice by email before changes take effect.
10. Limitation of Liability
10.1. Zupría is not liable for indirect losses, lost earnings, or other damages arising from participation in the program.
10.2. Participation does not guarantee any minimum income.
11. Data & Tracking
11.1. Personal data is processed in accordance with our Privacy Policy.
11.2. Cookies are used to track sales, with a 30-day duration and based on the Last Click attribution model.
12. Governing Law
12.1. These terms are governed by the laws of Romania.
12.2. Any disputes will be resolved by the competent courts in Romania.
